Theta Collective, S.L. (hereinafter Toteemi) is a tech start-up whose goal is to completely revolutionize the traditional sports sector by developing and promoting an app that merges outdoor sports with virtual competitions.

The business idea arose with the mission of creating the first platform for amateur athletes where they can find micro-sponsorships and support for practicing their favorite sport regardless of their level. The idea is to progress within the game by conquering territories and evolving their avatar through practicing their favorite sports activities, competing with players worldwide, or completing individual missions.

Toteemi's value proposition focuses primarily on the gamification of sports, applying game dynamics in sports contexts to achieve results and generate more stimulating experiences for users. Users are rewarded with physical and digital prizes for their sports activities.
On the one hand, the game dynamics aim to help promote intrinsic values in the sports world, such as motivation to practice sports.
On the other hand, the creation of an internal economy to earn virtual coins through achieved milestones, which can be exchanged for prizes in our marketplace as an extra motivation to exercise, as well as an engagement to use the app daily.

ATTENTION: The investment round in Toteemi is structured as follows:

• Direct investment in the Startup for its current partners and for previous commitments.
• The rest of the partners through the subscription of shares in the Investment Company, as long as it reaches a minimum of 5% participation in the Startup. If this is not reached, the investment will be direct in the Startup, and the investors will be channeled through a Syndicate.

There is a circumstance that we must highlight: if when capital gains are generated, the Investment Company has seen its participation reduced below 5% of Toteemi, such capital gains will be subject to double taxation, due to the non-exemption from corporate tax. We will implement mechanisms to try to avoid this, but you need to be aware of this circumstance.
